Welcome to Otterz! These Consulting Services Terms (“Terms”) govern the consulting services we provide and supplement any other agreements between you and Otterz. If there is any inconsistency between these Terms and other agreements, these Terms shall take precedence with respect to consulting services.

1. Consulting Services

Otterz offers strategic financial and operational consulting designed to help you grow and manage your business effectively. The scope, deliverables, and hours of service will be outlined in your service agreement or order form.

Please note that our consulting services and communications do not substitute for professional legal, tax, accounting, or regulatory advice. Otterz is not a public accounting firm, law firm, or fiduciary entity, and we do not act as your agent or investment advisor. Our services exclude:

• Legal, tax, or regulatory advice

• Appraisals or valuations

• Acting as broker, finder, or financial advisor

• Tax preparation or tax return services (offered separately)

• Employment law or payroll compliance advice

• Collection of unpaid accounts receivable

We recommend consulting qualified professionals for those specialized services to ensure compliance with applicable laws.

2. Independent Consultant Relationship

Otterz and its personnel operate strictly as independent consultants. We have no fiduciary duties to your company and you agree not to designate Otterz or its employees as officers or agents of your company with titles such as CFO, Controller, or similar roles. All advice and deliverables are intended solely for your internal management use and discretion.

3. Service Delivery

Our consulting services are typically provided during business hours (9 a.m. to 5 p.m. U.S. Eastern Time), unless otherwise agreed. Communication must be conducted through designated channels to ensure clarity and efficiency.

Some consulting services may rely on third-party software or tools (e.g., financial analytics platforms). You are responsible for subscribing to and paying the fees for necessary third-party tools. Delays or restrictions in service may occur if such tools are not available or accessible.

4. Ownership and Intellectual Property

Upon full payment, you will receive all rights, title, and interest in the deliverables Otterz creates for you (the “Deliverables”). Deliverables are considered works made for hire under applicable law.

Otterz retains ownership of all pre-existing proprietary materials (“Background Materials”) used in delivering our services. You are granted a non-exclusive license to use Background Materials solely as part of the Deliverables within your organization.

5. Warranties and Remedies

Otterz warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Any claims for nonconformity must be submitted in writing within 30 days of service delivery. Our sole obligation is to reperform the service or, at our discretion, refund the associated fees.

Consulting services are provided “as is” without implied warranties beyond those stated here. Otterz disclaims liability for indirect, incidental, or consequential damages arising from use of our services.

6. Compliance and Client Responsibilities

Otterz does not assume responsibility for notifying you of legal filing or compliance requirements related to your business. You are solely responsible for ensuring adherence to all applicable laws and regulations.

7. Confidentiality and Data Use

We treat your information with strict confidentiality and use it only to perform consulting services. Otterz may use secure third-party platforms for data processing as needed.

8. Fees and Payment

Service fees and billing terms will be specified in your service agreement. Prepaid fees and unused hours generally do not carry over and may expire. Otterz may limit services or delay commencement until payment is received.
